Insolvency solutions Business recovery Asset liquidation
Service description

We provide comprehensive insolvency advice covering every aspect of corporate crisis situations. Our services include insolvency solutions as well as processes aimed at the financial recovery of businesses.

In practice, we approach every case knowing that insolvency is not only a legal problem but above all an economic one. That is why we closely combine our legal services with financial and economic analysis. We prepare restructuring reports and plans. We provide strategic legal representation in restructuring and bankruptcy proceedings to debtors, creditors and trustees themselves.

Where recovery is no longer possible, we handle the realisation of assets in bankruptcy. For creditors we provide a complete service: from lodging claims and representation on creditors’ committees to incidental disputes.

Notable projects and references

Legal support for trustees:

We provide complete legal advice to trustees in exceptionally large bankruptcy proceedings with a combined value exceeding EUR 200 million. These concern the assets of major companies of national and regional importance.

Business recovery (Restructuring):

We provided key legal advice on the preparation of restructuring reports and restructuring plans for more than 10 companies (more than half of all restructuring proceedings in Slovakia in 2025), with total assets of EUR 100 million.

Representation of state institutions:

Our services are also sought by public authorities. We provide insolvency advice to a joint-stock company founded by the state, as well as to state institutions in demanding proceedings concerning the protection and recovery of funds from EU structural funds.

Litigation

Court proceedings Hearings Enforcement
Service description

We currently represent clients in several hundred ongoing disputes and have more than a thousand successfully concluded court proceedings behind us.

Our litigation practice ranges from commercial disputes between shareholders (corporate litigation), damages claims and protection of reputation, through large-scale civil actions, to complex incidental disputes arising from bankruptcy.

Experience has taught us, however, that the best dispute is often the one that can be avoided. That is why, wherever it is more advantageous and time-efficient for the client, we actively seek effective out-of-court resolution of disputes.

Notable projects and references

Collective representation:

We are conducting one of the largest collective legal representations in the history of the Slovak Republic. We provide comprehensive legal advice and direct representation to approximately 4,500 retail creditors in demanding restructuring proceedings of a financial group and in the follow-up bankruptcy proceedings, with the total value of this transaction and the claims asserted exceeding EUR 100 million.

Disputes over claims to the asset inventory

Our practice also includes protecting the bankruptcy estate. We successfully represent the trustee in proceedings concerning a financial institution that are directly related to the enforcement of claims entered in the asset inventory, totalling EUR 70 million.

Complex disputes extending into insolvency:

Our clients include key market players, such as a joint-stock company with state ownership. We successfully represent this entity in bankruptcy proceedings and in all related disputes, with the protected assets and claims amounting to EUR 34 million.

Mergers & acquisitions

Due diligence Distressed assets Investor
Service description

In mergers and acquisitions (M&A), our firm focuses on providing legal advice on the purchase and sale of companies. Our advice accompanies the client through the entire transaction – from the initial planning stage and the negotiation of term sheets, through due diligence, to the closing of the transaction itself and post-acquisition integration.

Given our insolvency practice, we specialise in acquisitions of businesses in distress, known as Distressed M&A. These are exceptionally complex transactions in which an investor with free capital acquires endangered assets, so-called distressed assets. Acquiring assets from a business in bankruptcy or restructuring gives the investor a price advantage, but on the other hand it conceals legal risks. Contracts, hidden liabilities, unsettled employment relationships and the strict rules on realisation under the Bankruptcy and Restructuring Act require a special approach, and that is what we strive to deliver.

Finally, we set up the most suitable corporate structures immediately after the transaction is completed, ensuring the smooth operation of the acquired business (so-called corporate structuring).

Divorce Marital property Maintenance
Service description

Divorce proceedings and minor children.

We guide clients through the entire divorce process. We know that every divorce is unique – from those where the spouses are able to reach a reasonable agreement to highly contentious disputes. The foundation of our work in this area is the comprehensive arrangement of parental rights and responsibilities towards minor children. We advise on proposed models of personal care, including

We assist and represent clients in determining fair and appropriate maintenance that reflects not only the actual needs of the child but also the real and demonstrable income and financial circumstances of both parents.

Settlement of marital property.

The formal end of a marriage is usually followed by the most complex legal and economic phase: the comprehensive settlement and division of the property acquired so far under the regime of jointly owned marital property.

In practice, jointly owned marital property often concerns more than dividing a flat and a car; it involves extremely complex structures – the valuation of business shares acquired by one spouse during the marriage, the settlement of funds invested in shares, funds or cryptocurrencies, the division of business profits, the handling of joint mortgage and business loans, and the settlement of contributions and investments from one spouse’s separate property into the joint property.

Real Estate

Transfers Development projects Lease agreements
Service description

In real estate, we provide our clients with legal services related to property transfers, complex lease relationships and large-scale construction. For clients carrying out development projects, we provide legal services from the very birth of the idea, the so-called greenfield stage.

We carry out comprehensive legal due diligence of land and acquisition titles (title search) and handle land consolidation and changes of land type. We guide developers through zoning proceedings, building permit proceedings and environmental impact assessment (EIA) proceedings.

We prepare works contracts with general construction contractors. Finally, after successful final building approval, we handle the sale or lease to end clients. We prepare transaction documents covering liens, easements, security transfers of rights and the escrow of the purchase price through notarial custody or bank escrow arrangements.

Tax audit Administrative actions Tax administrator
Service description

Tax audit: We represent clients from the moment a business receives notice of the commencement of a tax audit. A tax audit requires not only supporting accounting records but above all the strict protection of the audited entity’s procedural rights. We make sure officials do not exceed their statutory powers, prevent unlawful gathering of evidence, raise well-founded legal objections, take part in witness hearings and rigorously comment on tax audit reports.

Our goal is to dispel the tax administrator’s doubts before it issues a decision assessing additional tax, which may have devastating consequences for a company.

Where the financial administration issues an unlawful decision (e.g. denying the right to deduct value added tax on the grounds of the taxable person’s alleged involvement in a chain of transactions tainted by tax fraud), we pursue ordinary and extraordinary judicial remedies on behalf of our clients. We provide legal representation in proceedings before the administrative courts and the Supreme Administrative Court of the Slovak Republic, in which we prepare and file qualified administrative actions and related procedural submissions in the context of the settled case law of the Court of Justice of the European Union (CJEU). In this way we protect the property rights of taxable persons against unlawful interference by public authorities.

This practice is also closely integrated with our insolvency and transaction (M&A) work, in which we advise clients on the comprehensive identification and mitigation of tax risks in cooperation with tax advisors and auditors.
